Terms for Charging

This Terms and Conditions for Charging ("Charging Terms") governs how KLARO Solutions Inc. ("KLARO," "Company," "we," "us," or "our") bills, collects, and manages payment for subscription access to the KLARO platform. It supplements KLARO's general Terms and Conditions and Privacy Policy. By subscribing to a paid KLARO plan, the user ("Subscriber," "you") agrees to these Charging Terms.
1. Definitions
- Subscription means the recurring paid access granted to a Subscriber for use of the KLARO platform under a selected Plan.
- Plan means one of KLARO's designated organization subscription tiers: Free, Business, Multi-Outlet, or Institution, as further defined below.
- Billing Cycle means the recurring period (monthly or annual) for which a Subscriber is charged under a Plan.
- Payment Gateway means PayRex, KLARO's third-party payment processing partner, which collects and stores the Subscriber's payment method and processes all charges on KLARO's behalf.
- Renewal Date means the date on which a new Billing Cycle begins and a recurring charge is triggered.
- Grace Period means the period during which KLARO will attempt to collect payment following a failed charge before suspending access.
2. Subscription Plans and Billing Intervals
KLARO offers the following Plans:
- Free — no recurring charge or payment method required; one outlet, the owner only, and 100 pooled scans per month.
- Business — Monthly or Annual (Subscriber's choice); one outlet, up to five members including the owner, and 200 pooled scans per month.
- Multi-Outlet — Monthly or Annual (Subscriber's choice); up to three outlets, up to 20 members including the owner, and 700 pooled scans per month. This Plan is intended for organizations that need multiple outlets.
- Institution — custom capacity, pricing, and billing terms governed by a separately executed Master Services Agreement ("MSA"); these Charging Terms apply only to the extent not superseded by the MSA.
Free Plan. Every new organization is automatically placed on the Free Plan. The Free Plan does not require a payment method and does not automatically convert to a paid Plan. An organization remains on Free until its owner affirmatively selects and pays for Business or Multi-Outlet, or enters a custom Institution agreement.
Organizations on Business that require more than five members must contact KLARO for an Institution arrangement. Additional member add-ons are not offered, and a larger single-outlet team is not automatically moved to Multi-Outlet.
Annual billing, where selected, receives a 10% discount from twelve monthly charges.
A Subscriber selecting monthly billing will be charged on the same calendar day each month as their original signup date. Where a calendar month does not contain that date (e.g., signup on the 31st), the charge will occur on the last calendar day of the shorter month. A Subscriber selecting annual billing will be charged once per year on the anniversary of their original signup date.
Institutional Plans are not subject to fixed monthly/annual cycles under this document. Billing frequency, invoicing method (e.g., PayRex charge vs. bank transfer/PO), and payment terms for Institutional Plans are set out exclusively in the applicable MSA.
3. Pricing and Charges
All prices are quoted and charged in Philippine Pesos (PHP) unless otherwise stated at checkout. Prices displayed at the time of subscription reflect the amount to be charged for that Billing Cycle. Applicable taxes (e.g., VAT, if applicable) will be itemized separately by the Payment Gateway where required by law.
Price Changes. KLARO may change Plan pricing with at least thirty (30) days' prior written notice (email or in-app notice) before the change takes effect for existing Subscribers. Continued use of the Subscription after the effective date of a price change constitutes acceptance of the new price. Subscribers who do not accept a price change may cancel before the change takes effect.
Monthly Plan Upgrades. An eligible upgrade takes effect immediately. The Subscriber is charged a prorated amount for the remaining portion of the current monthly Billing Cycle, and the existing Renewal Date is retained.
Plan Downgrades. A compatible downgrade is scheduled for the next Renewal Date. The organization keeps its current, already-paid Plan until then, and no prorated refund is issued. Before scheduling, the owner must select a retained outlet and members that fit the destination Plan; records and excluded access links are retained rather than deleted.
Annual Commitments. Annual subscriptions are locked for the paid term. Plan and interval changes are scheduled for renewal; monthly-to-annual changes likewise begin on the next Renewal Date.
4. Payment Processing via PayRex
All payment method information (e.g., card, e-wallet, or bank details) is collected and stored directly by PayRex, KLARO's Payment Gateway. KLARO does not directly store full payment card numbers or bank credentials.
By subscribing, the Subscriber authorizes KLARO to instruct PayRex to charge their designated payment method automatically at each Renewal Date, without requiring separate authorization for each individual charge, for as long as the Subscription remains active.
KLARO is not responsible for the internal security practices of PayRex beyond KLARO's obligations as a merchant integrating with a PCI-DSS compliant payment processor. Subscribers should refer to PayRex's own terms and privacy policy for details on how their payment data is stored and protected.
The Subscriber is responsible for keeping their payment method up to date. KLARO will send a reminder notice (email or in-app) in advance of a Renewal Date where a stored payment method is known to be expiring, where technically supported by PayRex.
5. Failed or Declined Payments
If a scheduled charge fails or is declined, KLARO will automatically retry the charge up to two (2) times according to the following schedule:
- 1st retry — Day 0 (original Renewal Date, same day as failure)
- 2nd retry (final auto-retry) — Day 2
If the 2nd retry also fails, a five (5) calendar-day Grace Period begins immediately, running from Day 2 to Day 7. During the Grace Period: no further automatic retry attempts are made by KLARO or PayRex; the Subscriber retains full platform access; the Subscriber may manually update their payment method and settle the outstanding charge at any time to avoid suspension; and KLARO will send reminder notices (email and/or in-app) at the start of the Grace Period and at least once more before it expires.
The Subscriber will be notified by email and/or in-app notice after each failed retry attempt (Day 0, Day 2) and again when the Grace Period begins, stating the reason for failure (where provided by PayRex) and the deadline to resolve payment.
If the outstanding charge remains unpaid at the end of the Grace Period (Day 7 from the original failed charge), KLARO will suspend the Subscriber's account access. Suspension means the Subscriber cannot access platform features (scanning, dashboards, logbooks) but their data is retained (see below).
A suspended account may be reactivated at any time by updating the payment method and successfully completing payment. No reinstatement fee applies.
If an account remains suspended for non-payment for ninety (90) consecutive days, KLARO reserves the right to treat the Subscription as voluntarily cancelled. This does not affect data retention: the account is deactivated and its data remains stored, not deleted.
6. Cancelling a Subscription
A Subscriber may cancel their Subscription at any time through their account settings or by written request to KLARO's support channel.
Effect of Cancellation. Upon cancellation: no further charges will be made on future Renewal Dates; the Subscriber retains full access to their paid Plan features until the end of the current, already-paid Billing Cycle; and no partial-period refund is issued.
Cancellation does not relieve the Subscriber of any charges already incurred prior to the cancellation request, including any charge that was in progress or already successfully processed for the current cycle.
Institutional Plan cancellation is governed by the termination clause of the applicable MSA, not by these Charging Terms.
KLARO may terminate or suspend a Subscription for cause, including but not limited to: repeated failed payments beyond the period described above, violation of the Terms and Conditions, fraudulent use, or abuse of the platform. Cause-based termination does not entitle the Subscriber to a refund.
7. Refund Policy
No Refunds for Mid-Cycle Cancellation. KLARO does not provide partial or prorated refunds for unused time when a Subscriber cancels partway through a paid Billing Cycle, whether billed monthly or annually. The Subscriber's access continues, at no additional charge, through the end of the period already paid for.
This no-refund policy applies regardless of the Subscriber's reason for cancelling, including reduced usage, dissatisfaction with features, or voluntary discontinuation, except where required otherwise by Philippine consumer protection law or where KLARO determines, at its sole discretion, that a billing error occurred on KLARO's part (e.g., duplicate charge, incorrect amount charged).
Billing Errors. If KLARO or PayRex charges an incorrect amount, or charges a Subscriber after a successfully processed cancellation, KLARO will issue a full refund of the erroneous charge upon verification, regardless of the above. Refunds issued under this clause will be returned to the original payment method via PayRex within the timeframe set by PayRex's own refund processing rules.
No Refunds for Scheduled Plan Changes. Scheduling a Plan change does not create a refund for the current paid period. Any payment collected when the scheduled configuration begins remains subject to these Charging Terms.
8. Data Retention After Cancellation
Cancellation or suspension of a Subscription does not delete the Subscriber's data. Consistent with KLARO's Privacy Policy and Terms and Conditions, KLARO does not offer account or data deletion. Upon cancellation or suspension, the account is deactivated: platform access is suspended, but all account data (outlet profile, product and supply catalogues, sales logbooks, inventory records, uploaded images, and extracted records) remains stored on the platform indefinitely.
A deactivated account may be reactivated at KLARO's discretion, restoring access to the previously stored data, upon resolution of the outstanding payment issue or upon the Subscriber's request to resume a cancelled Subscription.
This section does not create any right to data export, portability, or erasure beyond what is expressly provided in KLARO's Privacy Policy (including the data subject rights available under RA 10173, such as the right to access and the right to data portability, exercised by contacting info@meetklaro.com), and does not override any separate data-sharing or data-ownership terms agreed with Institutional Plan Subscribers under an MSA.
9. Taxes
Subscription prices are exclusive of applicable taxes unless stated otherwise. The Subscriber is responsible for any value-added tax (VAT), withholding tax, or other government-imposed charges applicable to their Subscription under Philippine law.
10. Privacy and Security of Billing Information
KLARO collects only the minimum billing-related personal data necessary to administer the Subscription (e.g., name, email, billing address) and relies on PayRex for secure handling of full payment credentials, consistent with the Data Privacy Act of 2012 (RA 10173). KLARO will not sell or share a Subscriber's billing information with third parties for marketing purposes. Billing data may be shared with PayRex solely to process payments, and with government agencies where legally required (e.g., BIR reporting).
11. Changes to These Charging Terms
KLARO may update these Charging Terms from time to time. Material changes affecting billing amounts, intervals, or cancellation rights will be communicated with at least thirty (30) days' notice before taking effect.
12. Governing Law
These Charging Terms are governed by the laws of the Republic of the Philippines. Any dispute arising from billing under these terms shall be subject to the exclusive jurisdiction of the appropriate courts in the Philippines.
